California Agent for Service of Process for Out-of-State Businesses

If your business is formed in another state but does business in California, you're considered a "foreign" entity in California — and you'll need to register here through a process called foreign qualification. A required step in that process is naming a California agent for service of process (California's term for what most states call a "registered agent").

What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in California is a "foreign LLC" from California's perspective. The same applies to corporations and other entity types.

California's registration test sits in Corporations Code section 17708.03: an out-of-state LLC that "enters into repeated and successive transactions of business" here, other than interstate or foreign commerce, is transacting intrastate business and must register. The same section carves out activities that don't count by themselves, such as owner or manager meetings, financial accounts, independent-contractor sales, orders that need acceptance outside California, and a one-time deal closed within 180 days. The Secretary of State won't tell you which side of the line you're on, so a California attorney is the right call for close cases.

Keep a second test in mind. The Franchise Tax Board decides who is "doing business" in California for tax purposes under its own rules, which include sales, property and payroll thresholds, and an LLC that meets them owes California's annual LLC tax whether or not it ever registered.

What a California Agent for Service of Process Does for a Foreign Entity

Whoever you name as agent receives the legal papers California courts and agencies deliver to your company. California allows two kinds:

• An individual California resident, whose California street address (never a P.O. box) goes on the form
• A corporation that has filed as a California Registered Corporate Agent, listed by name only, after it agrees to take you on

Your LLC can't act as its own agent, and the agent's name becomes public record. If the agent resigns and isn't replaced, a court can order papers delivered to the Secretary of State instead, which is an easy way to miss a lawsuit.

How to Foreign-Qualify in California

The general process for registering an out-of-state entity in California:

1. Order a certificate of good standing back home. California wants a certificate of existence, status, or good standing issued within the past six months by the official who holds your company's records where it was formed. The name on your application must match it.

2. Choose who will accept service. Use an individual California resident or a Registered Corporate Agent that has approved the appointment.

3. Submit Form LLC-5 ($70). The Application to Register a Foreign LLC is filed online through bizfile Online (California reviews online submissions first) or on paper by mail with a check. If your name isn't available here, you add a California alternate name on the form. Expediting is optional: 24-hour service costs $350 and same-day $750.

4. File a Statement of Information within 90 days. Form LLC-12 costs $20 and is due within 90 days of registering, then every two years. Missing it after a delinquency notice brings a $250 penalty.

5. Pay the Franchise Tax Board every year. A registered foreign LLC owes the $800 annual LLC tax (more once California income reaches $250,000) and files Form 568, year after year until it cancels its registration.
